Terms & Conditions

Introduction

These Terms & Conditions govern the use of services, software, websites, and digital solutions provided by Boutiques Only, a venture managed under Damerax Cloud Solutions. By engaging with our services, clients agree to comply with and be bound by these terms.

Service Scope

We provide website design, development, hosting, software solutions, and digital services specifically tailored for boutique businesses.

Specific deliverables, timelines, and pricing will be defined in the individual project agreement/proposal.

Any additional features, integrations, or customizations beyond the agreed scope will be treated as a new assignment and may involve additional costs.

Payments & Fees

Advance payments are non-refundable unless otherwise stated in the project agreement.

Remaining balances must be cleared before final delivery, handover, or go-live.

Delay in payments may result in suspension of services.

Intellectual Property

Source code, designs, and digital assets created specifically for the client will be transferred after full payment.

Until then, all intellectual property remains the sole property of Damerax Cloud Solutions.

We reserve the right to showcase non-confidential work in our portfolio unless otherwise agreed in writing.

Data & Content Responsibility

Clients are solely responsible for the accuracy, legality, and ownership of all content, images, and data provided to us.

Damerax Cloud Solutions is not liable for copyright infringements or third-party claims arising from client-provided material.

Clients must ensure they have appropriate rights and licenses for all materials supplied for their projects.

Confidentiality

We respect client confidentiality and will not disclose sensitive information without prior written consent.

Similarly, clients agree not to misuse or resell proprietary frameworks, tools, or strategies shared by Damerax Cloud Solutions.

This confidentiality obligation survives termination of our agreement.

Limitation of Liability

Services are provided on a "best effort" basis.

Damerax Cloud Solutions is not responsible for indirect losses, downtime, data loss, or damages caused by hosting providers, third-party integrations, or client mismanagement.

Maximum liability is limited to the total amount paid by the client for the project.

Support & Maintenance

Post-delivery support is only provided as per the support plan purchased.

Without a valid AMC (Annual Maintenance Contract), fixes, updates, or changes are billable at standard rates.

Emergency support outside business hours may incur additional charges.

Termination of Services

Either party may terminate the agreement with written notice if the other party breaches terms.

Termination does not exempt the client from clearing pending dues.

Upon termination, all licenses granted will cease, and client access to proprietary systems may be revoked.

Jurisdiction & Legal Compliance

This agreement is governed by the laws of India.

Any disputes will fall under the jurisdiction of courts in Hyderabad, Telangana.

Damerax Cloud Solutions, MSME Registration UDYAM-TS-20-0099138, operates under applicable Indian laws including the Information Technology Act, 2000.

Amendments

We reserve the right to update these Terms & Conditions at any time.

Clients will be notified of changes via email or website updates.

Continued use of our services after changes constitutes acceptance of the modified terms.

Force Majeure

Damerax Cloud Solutions shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
